To be eligible to participate in the Program, you must:

Partners are responsible for maintaining accurate and up-to-date account information on GoAffPro. Any change in bank details, UPI ID, email, or mobile number must be updated at least 5 business days before the Payout Date to be effective for that month's payout. The Company is not liable for failed payouts arising from inaccurate Partner-provided information.

The ₹999 Partner Activation Kit is not an enrollment fee or membership charge. It is a mandatory product purchase designed to ensure that every active Partner has personally used and experienced Heaven Roots products before recommending them. This policy protects brand credibility and ensures all affiliate recommendations are based on genuine first-hand experience.

Type B Partners with a demonstrable following of 10,000+ on any platform may request a ₹350 sample kit at cost in lieu of the full Activation Kit. The ₹350 amount is deducted from the Partner's first commission payout — it is not required to be paid upfront. This option requires Company approval and is not available to Type D Partners.

Slabs reset on the 1st of every calendar month. Each month starts fresh from zero qualifying orders. Historical monthly performance does not carry forward to determine the following month's opening slab.

Commission applies to all current Heaven Roots products using the same Selling Price formula. New products added to the catalog will automatically fall under the same commission structure unless explicitly excluded with advance notice.

Where customers purchase bundled products or Company-initiated promotional prices, commission is calculated on the actual transaction selling price, not on standard MRP × 0.80. Commission on such orders may be lower than standard rates.

A sale qualifies for commission only when ALL of the following conditions are met:

Coupon Codes provide an additional tracking mechanism independent of browser cookies. A customer who uses the Partner's Coupon Code at checkout will generate a qualifying commission — even if they didn't click the Affiliate Link — provided the order meets all other qualifying criteria.

The Company is not liable for commissions on sales not tracked due to: customers clearing cookies, using different devices, or browser restrictions. Partners should actively encourage customers to use Coupon Codes to ensure reliable tracking.

Sales are locked for payout calculation on the last calendar day of each month. Orders placed in a given month but not delivered by the last day will count towards the following month's Slab calculation.

Heaven Roots maintains a 15-day return policy from the date of delivery. An order returned within 15 days does not qualify as a confirmed sale, and any commission attributed to that order will be automatically reversed.

If a return is processed before the monthly Payout Date, the commission will not be included in the payout. If processed after the Payout Date but within the return window, the reversed commission will be deducted from the Partner's next payout cycle. Where the reversal amount exceeds pending commissions, it will carry forward as a negative balance.

If a customer returns only a portion of a multi-product order, commission reversal applies only to the returned item(s), calculated at the Partner's applicable Slab rate for that month.

If a Partner believes a return was incorrectly processed, they may raise a dispute within 10 days of the Payout Date by writing to support@heaavenroots.com with relevant order details. The Company will investigate and respond within 7 business days.

The minimum payout threshold is ₹500. If a Partner's confirmed commission balance for a given month is below ₹500, the amount carries forward and accumulates until the ₹500 threshold is reached.

The Company does not make payouts to third-party wallets, prepaid cards, or international accounts. Payouts are made exclusively to Indian bank accounts or UPI IDs registered in the Partner's own name.

Partners whose cumulative commission earnings exceed ₹10,000 in a financial year (April–March) are required to provide a valid PAN card for tax compliance. Failure to provide PAN when requested will result in withholding of payouts until furnished. TDS deductions will be applied as per applicable Income Tax rules.

Partners have a 10-day dispute window from each Payout Date to raise concerns. Disputes must be submitted in writing to support@heaavenroots.com with subject line: 'Payout Dispute — [Partner Name] — [Month/Year]'. Resolved within 7 business days.

The Company may place a payout on hold pending investigation in cases of: suspected fraud or policy violation; high volume of returns; ongoing payout dispute; or failure to provide required documentation. Held payouts will be released or forfeited within 30 days of the hold being placed.

Partners are independent contractors and are solely responsible for declaring affiliate income and paying applicable taxes in accordance with Indian tax law. The Company will not provide tax advice or assume any tax liability on behalf of Partners.

Partners must not modify, obfuscate, or disguise Affiliate Links in ways that prevent accurate tracking or mislead customers. Cloaking tools that mask the destination entirely are not permitted.

All Partners are required to comply with ASCI Guidelines for Influencer Advertising in Digital Media (2021, updated 2023) and the Consumer Protection Act 2019. Accepted disclosure labels: #ad, #advertisement, #sponsored, #collaboration, #partnership, #affiliate, or the platform's native disclosure tool.

The Company may request a Partner to edit or remove any non-compliant content. Partners must action such requests within 24 hours for clinical/medical claim violations and 48 hours for all other violations. Failure to comply may result in account suspension and withholding of commissions.

The following actions are strictly prohibited and may result in immediate account suspension, termination, and forfeiture of all pending commissions:

All trademarks, brand names, logos, product names, product images, product formulation descriptions, marketing copy, and creative assets associated with Heaven Roots Wellness Private Limited are the exclusive intellectual property of the Company. This includes 'Heaven Roots' and 'Nia Defence' brand names and logos, product photography, packaging design, label copy, and all taglines.

By enrolling in the Program, the Company grants each Partner a limited, non-exclusive, non-transferable, revocable license to use Company-provided marketing materials solely for the purpose of promoting Heaven Roots products through approved channels. This license does not transfer ownership of any intellectual property to the Partner.

By tagging @heavenrootsofficial or submitting content for the Company's top performer feature, Partners grant the Company a non-exclusive, royalty-free, worldwide license to use, reproduce, and publish such content across the Company's owned digital channels. Partners will be credited. The Company will not use Partner content in paid advertising without separate written consent.

The Company employs fraud detection measures through GoAffPro and manual review processes. Any indication of fraudulent activity will result in immediate investigation and account suspension pending outcome.

Upon termination: the Affiliate Link and Coupon Code are deactivated immediately; cookie window tracking ceases; GoAffPro dashboard access is revoked. Confirmed commissions for completed qualifying sales will be paid as per the payout schedule, subject to the terms applicable to the termination type.

The confidentiality obligation survives termination of this Agreement for a period of 2 years from the date of termination.

The Company reserves the right to modify any aspect of the Program at any time, including commission slab percentages, Activation Kit composition and price, payout minimum and schedule, cookie window duration, and products eligible for commission.

The Company may discontinue the Program entirely at any time with 30 days' advance written notice to all active Partners. Upon discontinuation, all confirmed commissions will be paid within 15 days of the program closure date.

Partners are independent contractors. This Agreement does not create any employment, agency, partnership, joint venture, or franchisee relationship between the Partner and Heaven Roots Wellness Private Limited.

Partners have no authority to bind or commit the Company to any agreement; make representations on behalf of the Company; hire employees or contractors on behalf of the Company; or use Company letterhead, brand identity, or official communications formats.

Partners are responsible for their own taxes, social security contributions, insurance, and operating expenses. The Company will not provide employee benefits, reimbursements, or professional indemnity cover to Partners.

To the fullest extent permitted by applicable law, Heaven Roots Wellness Private Limited shall not be liable to any Partner for indirect, incidental, consequential, or punitive damages arising from participation in the Program; loss of anticipated commission income due to product unavailability or website downtime; errors or delays in GoAffPro tracking caused by third-party platform failure; actions taken by customers, including returns or chargebacks; or changes to commission structure made in accordance with notice provisions in this Agreement.

Partners agree to indemnify, defend, and hold harmless Heaven Roots Wellness Private Limited, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

The Company collects and processes Partner personal data (name, email, mobile, bank/UPI details, PAN, and performance data) solely for the purpose of operating the Program, processing payouts, and complying with applicable tax regulations. Handled in accordance with the Information Technology (Amendment) Act 2008.

Partner data is not sold or shared with third parties except: GoAffPro for platform operation; payment processors for payout processing; and tax or regulatory authorities as required by law.

Partners must not collect, store, or process personal data of customers who purchase through affiliate links. Any customer-level data visible through the GoAffPro dashboard must be treated as confidential and used solely for Program purposes.

The Company retains Partner account and payout data for a minimum of 7 years to comply with Indian tax and financial record-keeping requirements, even after account termination.

For disputes involving amounts below ₹5,000, the Company's internal dispute resolution process (Section 7.5) is the final and binding resolution mechanism. No court action will be entertained for claims below this threshold.

This Agreement constitutes the entire agreement between the Company and the Partner with respect to the Program and supersedes all prior understandings, representations, or arrangements, whether written or oral.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

The Company's failure to enforce any provision of this Agreement on a particular occasion does not constitute a waiver of that provision or the Company's right to enforce it in the future.

Partners may not assign, transfer, or sub-license their rights or obligations under this Agreement to any third party. The Company may assign its rights in connection with a merger, acquisition, sale of assets, or business restructuring, with notice to active Partners.

This Agreement is written in English. In the event of any translation, the English version shall prevail in cases of discrepancy.
